Scope of these terms
These Terms of Service govern your use of this website, any information or resources published on it, and any inquiry, consultation request, audit request, or preliminary interaction initiated through it. They also describe the general business framework under which JAR Business Systems discusses and delivers services.
These website terms do not replace a signed proposal, service agreement, statement of work, quotation, invoice terms, or project-specific contract. If there is a conflict between these website terms and a signed client agreement, the signed client agreement controls for that engagement.
Use of the website
You may use this website only for lawful business or informational purposes. You may not misuse the website, interfere with its security or availability, attempt unauthorized access, introduce malicious code, scrape restricted content at scale, impersonate another person or business, or use the website in a way that damages the company or other users.
We may suspend, block, or limit access if we reasonably believe the website is being abused, probed, copied inappropriately, or used for unlawful, fraudulent, or disruptive activity.
Informational content and no automatic client relationship
Content on this website is provided for general information about our services, process, and areas of expertise. It is not legal, accounting, tax, medical, or regulatory advice, and it does not create a client relationship merely because you browse the site or submit an inquiry.
A client relationship begins only when both sides clearly agree to proceed, commercial terms are accepted, and any required onboarding, deposits, or approvals are completed.
Inquiries, consultations, and audit requests
When you submit an inquiry, consultation request, or free audit request, you agree to provide accurate and reasonably complete information. We use the information you provide to assess fit, respond to your request, and decide whether to prepare recommendations or a proposal.
Submitting a form does not obligate JAR Business Systems to accept the project, hold a slot, provide ongoing support, or deliver a fixed scope without a separate commercial agreement.
Proposals, scope, and changes
Any proposal, quotation, scope recommendation, or audit summary is based on the information available at the time it is prepared. If your requirements change, if missing dependencies appear, or if third-party systems introduce constraints, pricing, scope, timelines, and deliverables may need to change as well.
Work outside the agreed scope may be treated as an add-on, change request, or separate phase. The website should not be read as promising every listed service in one package, timeline, or price.
Client responsibilities during service delivery
If you engage JAR Business Systems, you are responsible for providing timely approvals, feedback, content, credentials, legal permissions, business information, and decision-making access reasonably required for the work. Delays in approvals or incomplete materials may affect timelines, launch schedules, and delivery sequence.
You are also responsible for ensuring that the materials you provide, including logos, copy, photos, product information, customer data, and account access, may be lawfully used for the project.
Intellectual property
Unless otherwise stated in a signed agreement, this website and its contents, including text, layout, design treatments, code structure, visual elements, trademarks, and original materials, remain the property of JAR Business Systems or its licensors.
Client-owned materials remain the property of the client. Custom deliverables, source files, design systems, code, content, automations, and deployment assets may be subject to the ownership, licensing, transfer, and usage rights defined in the applicable project agreement.
Third-party platforms and tools
Many projects involve third-party tools such as WordPress, hosting providers, domain registrars, Google products, Meta platforms, payment gateways, CRM systems, automation platforms, POS systems, and analytics services. Their availability, pricing, uptime, policy changes, and feature changes are outside our direct control.
JAR Business Systems is not responsible for outages, vendor policy changes, account suspensions, pricing changes, or security incidents that originate within third-party platforms, although we may assist with diagnosis, coordination, or recovery where that falls within the agreed scope.
Payments and commercial terms
Specific payment schedules, deposits, milestones, late fees, taxes, reimbursements, and implementation costs are governed by the applicable proposal, invoice, or signed agreement. Unless explicitly stated otherwise, project reservations, development work, or delivery commitments may depend on timely payment and confirmation.
Any free audit, discovery conversation, or initial recommendation does not waive the right to charge for further planning, implementation, support, or revisions.
Warranties and limitations
We aim to provide services with reasonable skill and care, but this website and its contents are provided on an as-available basis. We do not guarantee that the website will always be uninterrupted, error-free, or suitable for every purpose.
We also do not guarantee specific commercial results such as ranking position, lead volume, sales growth, ad performance, customer behavior, or operational outcomes unless a signed agreement explicitly says otherwise. Business performance depends on many factors outside website delivery alone.
Limitation of liability
To the maximum extent permitted by applicable law, JAR Business Systems will not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of this website or from reliance on general website information alone.
For paid services, any liability framework should be read together with the signed service agreement and applicable Philippine law.
Confidentiality and submissions
We treat legitimate business information shared during inquiries and projects with appropriate care, but you should avoid sending highly sensitive personal data, regulated data sets, passwords in plain text, or confidential materials before secure project handling has been agreed.
If you submit feedback, suggestions, or high-level ideas through the website without a separate written confidentiality agreement, we may review them freely for evaluation purposes. That does not transfer ownership of your business, but it does mean unsolicited submissions should be made with discretion.
Termination and refusal of service
We reserve the right to refuse inquiries, stop discussions, suspend website access, or decline service where there is abusive conduct, unlawful use, non-cooperation, conflict of interest, fraud risk, non-payment, or a mismatch between requested work and our operating standards.
Governing law
These Terms are governed by the laws of the Republic of the Philippines, without prejudice to any mandatory legal protections that may apply under applicable law.
Changes to these terms
We may update these Terms when our services, website features, pricing framework, or operating model change. The latest version published on this page will control from its stated effective date.
